Definitions

"Terms" shall mean the terms and conditions described in this document

"Breakside" (or "We", "Us", "Our") shall mean Breakside Inc., a Delaware corporation

"Site" shall mean the website and applications provided by Breakside on https://authprivacy.com, all subdomains, and all related locations.

"Services" shall mean the functionality and products available on the Site, including, but not limited to, the website at https://authprivacy.com, the authentication service at https://signin.authprivacy.com, and the developer service at https://developers.authprivacy.com.

"Legal Entity" shall mean the union of the acting entity and all other entities that control, are controlled by, or are under common control with that entity. For the purposes of this definition, "control" means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding shares, or (iii) beneficial ownership of such entity.

"You" (or "Your") shall mean an individual or Legal Entity accessing the Site or using the Services.

Service Description

Breakside provides Services that include, but are not limited to, the ability for You to sign-in to various applications and websites with the same login credentials, and the ability for You to integrate Your website or application with that sign-in service. Use of these Services is conditioned on accepting these Terms in full.

We made a website that lets you sign-in to many other apps, all with the same login.

Acceptance of Terms

By using the Services, You are agreeing to be legally bound by these Terms, Our Privacy Policy, and all applicable laws. If You do not agree to any provision of these Terms, You must discontinue any and all use of the Services.

Modification of Terms

Breakside reserves the right to modify the Terms at any time acting on its sole discretion. We will notify You of material changes to the Terms by posting an update on the Site. You are responsible for reviewing modifications to the Terms. Continued use of the Services constitues acceptance of all modifications to the Terms.

These terms may change, but we'll let you know when they do

Account Creation

When creating an account for the Services, You are required to provide a valid email address or phone number. You may only provide an email address or phone number that You lawfully operate and access. You must verify Your ability to receive messages at Your email address or phone number in order to complete Your account creation.

Additionally, You are required to choose a password. You are responsible for maintaining the confidentiality of Your password. You are solely responsible for all actions resulting from the use of Your password.

You are encouraged to use a second authentication factor in addition to Your password. Second factor options include, but are not limited to, Time-based One Time Passwords and Security Key devices. If You choose to use a second authentication factor You are responsible for maintaining the confidentiality of any secrets, private keys, or other information necessary for the secure operartion of the factor.

All information provided to Breakside is governed by Our Privacy Policy.

You need to use a valid email address or phone number to sign up, and you need to keep your password safe.

User Conduct

As a condition of use, You promise to use the Services only for purposes that are lawful and are not prohibited by these Terms.

You agree not to use the Services:

  1. For any purspose that is not permitted under the laws of the jurisdiction where you use the Services
  2. To abuse, harass, threaten, impersonate, or intimidate any person
  3. To create or transmit any unwanted messages to any person or URL
  4. To artifically inflate the number of referrals from or sign-ins to any website or application
  5. To track or monitor user behavior across applications
  6. To investigate if any user has signed into any website or application
  7. For any other purpose not reasonably intended by Breakside
You can't use Auth Privacy for something illegal.

Developer Accounts

Breakside provides website and application developers the ability to use Auth Privacy as a means of user authentication. In order to integrate Your website or application with Auth Privacy, You are required to create a developer account and register each application and website that will integrate with Auth Privacy.

In additon to the other terms and conditions outlined in these Terms, the following apply to developer accounts:

  1. Developer accounts must not share the client token for an application or website with any other application or website
  2. Developer accounts may be charged a monthly fee in proportion to the total amount of authentication requests processed by the Services for the applications and websites registered to the developer account
  3. Breakside may modify, suspend, or discontinue the Services provided to a developer account holder at any time for any reason.

Breakside utilizes Stripe as third party payment processor for developer accounts. Stripe may collect information in order to verify and complete payments. Consult Our Privacy Policy and the Stripe Privacy Policy for more information.

You must register your app in order to integrate with Auth Privacy, and since we don't make money off of our users, we need developers who use the service the most to help pay for it.

Service Availability

The Site and Services may be unavailable from time to time for any reason in or out of Our control. For example: upgrades, maintenance, or malfunctioning equipment may result in the temporary unavailability of Services.

Breakside reserves the right to suspend or disable any sign-in or developer account at any time without prior notice.

Breakside reserves the right to suspend or discontinue the Site or any Services at any time without prior notice.

Planned and unexpected outages may occur, we may disable your account,or we may stop providing services at any time

Warranty Disclaimer

The Site and Services are provided on an "as is, as available" basis, without warranties or conditions of any kind, either express or implied, including, without limitation, any warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose. You are solely responsible for determining the appropriateness of using the Site and Services and assume any risks associated with Your exercise of permissions under these Terms.

We offer Auth Privacy as-is and as-available, without any promise that it will meet your needs

Release and Indemnity

You expressly release Breakside, Our affiliates, directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors, and assigns of and from any and all actions, liability, debts, claims, demands, and expenses, including reasonable attorney fees, that arise from You or anyone with access to Your account, using the Site and the Services.

We are not liable for how you use our site

Limitation of Liability

In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, shall Breakside be liable to You for damages, including any direct, indirect, special, incidental, or consequential damages of any character arising as a result of the use or inability to use the Site and the Services.

We are not liable for any losses you suffer as a result of using Auth Privacy

Controlling Law

The Terms shall be governed by and construed in accordance with the laws of the State of California, including its conflict of laws rules, and the United States of America.

Any disputes arising from or relating to these Terms of Service shall be governed by the exclusive jurisdiction and venue of the state and Federal courts of Kern County, California.

Disputes will be handled in court under the laws of California

Severability

If any provision of these Terms shall be found to be unenforceable or invalid, such provision shall be changed, interpreted, or elmiminated as to best accomplish the objectives of such provision while preserving the remainder of these Terms to maximum amount possible.
